Please find below the RidgeRunners Club Bylaws.  Since the club disbanded in 2010, these bylaws have been revised fully and must be approved by the 2011 Board of Officers.  The inclusion of this document on this website is for information purposes only.

LAKE RIDGE RIDGERUNNERS CLUB BYLAWS

Article I – Title

The name of the sponsored program shall be the “Lake Ridge RidgeRunners Club” hereafter referred to as the RidgeRunners Club.  This club is a sponsored program of the Lake Ridge Parks and Recreation Association, Inc. (LRPRA).

Article II – Purpose

The purpose of sponsorship is to remain in line with the purpose of LRPRA, Inc. “. . . to promote the recreation, health, safety and welfare of the residents in Lake Ridge. . .”

The purpose of the RidgeRunners Club is to provide support to anyone interested in running/walking for exercise or competition and to create an opportunity for runners/walkers to meet others interested in the sport.

Article III – Membership

Membership in the Lake Ridge Ridgerunners Club is open to anyone interested in running/walking for exercise or competition, whether a LRPRA member or Non-LRPRA member.  LRPRA members must have a current account with no outstanding balances or architectural violations.

The regular meeting of the RidgeRunners Club shall be held each month or at such times approved by the Board of Officers.

Article IV – Management

The management of the Lake Ridge Ridgerunners Club shall be vested in the Board of Officers consisting of elected members:  President, Vice-President, Treasurer, Secretary, Registrar, Public Relations Manager, Social Network Manager, and Run Leader.  More than one person may share a board position.  A non-elected official of the LRPRA staff will function as overseer of the Board, hereafter referred to as the RidgeRunners Club Liaison.

Section 1 – Responsibilities

The Board of Officers shall be responsible for:

  1. Carrying out the provisions of the Bylaws of the RidgeRunners Club.
  2. Overseeing the financial affairs of the RidgeRunners Club.
  3. Formulating and implementing the approved policies of the RidgeRunners Club.
  4. Supporting Lake Ridge Parks and Recreation Association, Inc. policies and procedures.

Section 2 – Officer Duties

1.  President – The President shall call and preside overall meetings, he/she shall put to vote all questions regularly moved, seconded and discussed and shall decide all questions of order.  He/She shall make no motion nor vote on any question unless the vote shall be equally divided, in which case he/she shall cast the deciding vote.  He/She shall call a meeting of the Board of Officers at any time deemed advisable.  He/She shall appoint the chairperson of standing committees and shall appoint special committees at the request of the Board of Officers.  He/She shall be a member, ex officio, of all committees.  He/She is responsible for arranging set-up and clean-up of Lake Ridge Community Centers used for functions.  He/She shall be responsible for the weekly update of the RidgeRunner website; for the prompt pickup and distribution of club mail; and for the RidgeRunners electronic newsletter.

2. Vice-President – The Vice-President shall preside in the temporary absence of the President.  He/She shall succeed to the Presidency if the President is unable to complete the full term of office.  He/She shall assist the President in the duties of that office.  The Vice-President is responsible for organizing the monthly programs of the club.

3.  Treasurer – All monetary purchases, requests, and reimbursements shall be made through the Treasurer. The Treasurer will report the financial conditions to the club at the end of the fiscal year and one month prior to the approval of the new budget.  He/She shall be responsible for fundraiser money and carrying out the fundraiser goal.  Additionally, the Treasurer shall maintain all records pertaining to the RidgeRunners Club bank account and PayPal account.

4.  Secretary – The Secretary shall record minutes of all Board of Officers meetings, maintain custody of RidgeRunners Club documents such as minutes of the Board meetings, copy of bylaws, any policy statements issued by the club, and shall maintain correspondence of the club.  The Secretary shall also obtain a weekly website blog entry from an Officer or Club Member and forward it to the President or webmaster.

5.  Registrar – The Registrar shall be responsible for maintaining all membership registration documents; for verifying with the Treasurer due payment of annual dues; and for sending out a welcome letter and a membership card to new members.

6.  Public Relations Manager – The PR Manager shall be responsible for club publicity at LRPRA events, RidgeRunners Club events, and local races involving the RidgeRunners Club.  Additionally, the PR Manager shall create fliers to generate new membership, including LRPRA’s RidgeRunners Club informational pamphlet.

7.  Social Network Manager – The SN Manager shall be responsible for the maintenance of the Lake Ridge RidgeRunners Facebook Fan page and the lakeridgerunner Twitter account.  The Facebook page shall act as a discussion forum for all club members while the Twitter account will be used solely for the purpose of alerting members in case of event cancelations or emergency situations.

8.  Run Leader – The Run Leader shall be responsible for supervising all group runs; for seeing to the general welfare of run participants; for welcoming new club members; and for providing route information and group run instructions.

Section 3 – Executive Board

The officers of the club and the chairpersons of all standing committees shall constitute the Executive Board. Special meetings of the board may be called by the President and shall be called by request of the majority of the Board.  They shall have general supervision of the affairs of the club between general membership meetings and shall perform other duties as specified in the bylaws.

Section 4 – Committees

The RidgeRunners Club Board of Officers through the President shall seek volunteers or appoint committees/chairpersons as necessary to the efficient conduct of the business of the RidgeRunners Club.  Any member in good standing may be a chairperson of a committee.  The RidgeRunners Club has three designated committees chaired by non-elected members of the club.

1.  Design Committee Chairperson:  He/She will be responsible for creating, coordinating, and promoting logo items for the Club, such as T-shirts, hats, patches.  He/She will be responsible for the development of special projects from the direction of the President.

2.  Race Director Committee Chairperson:  He/She will oversee all race activities – He/She is not the Race Director.  He/She is responsible for the obtaining the sponsorships for the races and guiding the Race Director.  He/She will be responsible for taking over if the designated Race Director is not able to carry out his or her duties.

3.  Training/Race/Team Committee Chairperson:  He/She will coordinate training programs for the interests of the club.  He/She is responsible for obtaining and distributing local race information.  He/She will coordinate the meeting times for the races and will coordinate RidgeRunner Teams at races.  He/She shall be responsible for arranging for the Club banner to be at races where the banner has been requested.

Section 5 – Nomination and Election of Officers

1.  Eligibility:  RidgeRunners Club members in good standing are eligible for election to office.

2.  Elections:  Information regarding the election such as the description of the offices will be in the April newsletter.  Nominations are due to the President prior to the May meeting.   LRPRA must approve all nominations. The nominations which have been seconded at the May meeting will be published in the May newsletter.  The officers of the club will be elected at the June meeting by a majority vote of the members present.  Incoming officers and committee chairpersons will take office August 1.  Outgoing officers and chairpersons will remain in office until August 31.  During this time they will work together to ensure a smooth transition.  Committee Chairpersons will be appointed by the Club President at the time of elections in June.  At the September Executive Committee meeting, the outgoing officers and committee chairpersons will hand over all records to the newly elected and appointed officers and chairpersons.

3. Term of Office:  Two years.

4.  Vacancies in any office, except the President, shall be filled by special nomination and election by the membership to complete the term.  Volunteers will be accepted and encouraged.

5.  Officers may serve no more than one consecutive term in any one position unless no persons desire to hold the position.

6.  Special elections may be called at the discretion of the President or LRPRA.

Section 6 – Procedural Requirements

  1. Proposed bylaws and amendments must be preapproved by LRPRA.
  2. These bylaws may be amended, altered, or repealed by a majority vote of the members present at the meeting.
  3. All members must be notified at least one general membership meeting prior, that bylaws amendments will be discussed and voted upon.

Article V – Finances

  1. The RidgeRunners Club is a program sponsored by a not-for-profit association.  Dues and other funds received by the club will be spent on club expenses to carry out the stated purpose of the club and sponsoring association.
  2. No part of the net earnings of the RidgeRunners Club shall go to the benefit of its individuals except for reimbursement purpose only.
  3. Members seeking club funds for reimbursement must have preapproval by the Treasurer or President and shall give a full record of expenditures to the Treasurer, who shall reimburse members within one month of expenditures.
  4. RidgeRunners Club members will submit annual dues to LRPRA which have been determined by LRPRA and the RidgeRunners Club Board of Officers.
  5. On August 31, the end of the fiscal  year, any money left in the treasury after all club expenses for that year have been covered will remain in the treasury for the subsequent year’s expenditures.
  6. Fundraising by the Club will be done for specific stated purposed only.  The Treasurer will be in charge of the fundraiser money and carrying out the stated fundraiser goal within four weeks of the end of the fundraiser.  A report and receipts from all fundraisers will be filed with LRPRA at the end of the fiscal year.
  7. LRPRA receives a sponsorship fee of 15% of RidgeRunner Club membership dues starting September 1, 2011.
  8. The fiscal year is from September 1 to August 31.
  9. The RidgeRunners Club membership roster is not to be used for solicitation purposes by its members or anyone else promoting personal gain.

Article VI – Dissolution

Upon dissolution of the Ridgerunners Club, the sponsoring Association will ensure all creditors are paid, after which all remaining funds in the treasury will go to Lake Ridge Parks and Recreation Association, Inc.
